These Terms of Service ("Terms") govern your access to and use of SARIH ("Service"), an AI-powered business idea validation platform operated by Sarih Tech ("we," "us," or "our"). By using SARIH, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

SARIH provides AI-powered analysis of business ideas. The Service is provided for informational purposes only. SARIH is a digital product as defined by Polar's acceptable use policy.

2. Eligibility

You must be at least 18 years old to use SARIH. By using the Service, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Registration

To access certain features, you must create an account. You agree to provide accurate information and keep your account credentials secure. You are responsible for all activities under your account.

4. Credits and Payment

SARIH operates on a credit-based system. Credits are purchased as one-time payments and do not expire. Each validation consumes one credit.

Merchant of Record: All payments are processed by Polar Software Inc. ("Polar"), our Merchant of Record. When you make a purchase, you are transacting with Polar. Polar handles all billing, payment processing, sales tax, VAT, GST, and other applicable taxes on our behalf. Polar uses Stripe for payment processing.

By purchasing credits, you agree to Polar's Terms of Service and authorize them to charge your payment method. You also agree to Stripe's terms as Polar's payment processor.

5. Refunds

Refunds are processed through Polar. See our Refund Policy for complete details. Key points:

  • Polar may issue refunds within 60 days of purchase at their discretion
  • Payment processing fees are non-refundable
  • Digital content that has been used may not be eligible for refund

6. Acceptable Use

You agree NOT to:

  • Submit illegal, fraudulent, or harmful content
  • Attempt to reverse engineer, scrape, or copy our systems
  • Use automated tools to abuse the Service
  • Circumvent any security measures
  • Resell or redistribute validation reports without permission
  • Use the Service to harm competitors or other parties

7. Intellectual Property

Your Ideas: You retain all intellectual property rights to business ideas you submit. We claim no ownership of your submissions.

Our Service: SARIH, including its algorithms, interface, reports, and branding, is our intellectual property. You may not copy, modify, or create derivative works without permission.

Reports: Validation reports generated for you are licensed for your personal and business use. You may not resell reports or use them in ways that misrepresent their source.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

  • No Guarantee of Accuracy: Validation reports are AI-generated analyses based on available information. We do not guarantee accuracy, completeness, or reliability of any analysis.
  • No Business Advice: SARIH does not provide legal, financial, or professional business advice. Reports are for informational purposes only.
  • No Guarantee of Success: We try our best to identify potential issues and provide helpful feedback, but validation scores are not predictions of success or failure. Market conditions vary.
  • Your Responsibility: All business decisions are yours alone. You should conduct your own research and consult qualified professionals before making significant business investments.

9. Assumption of Risk and Consent

BY USING SARIH, YOU EXPRESSLY ACKNOWLEDGE AND AGREE:

  • You use this Service entirely at your own risk.
  • You are solely responsible for any decisions you make based on our analysis.
  • You consent to receive AI-generated content that may contain errors or inaccuracies.
  • You waive any and all claims against SARIH related to the accuracy or usefulness of our analysis.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • SARIH, its owner, operators, and affiliates shall have NO LIABILITY WHATSOEVER for any damages arising from your use of the Service.
  • We are not liable for any direct, indirect, incidental, special, consequential, punitive, or any other damages.
  • We are not liable for lost profits, lost revenue, lost data, lost business opportunities, or any business losses.
  • We are not liable for any actions you take or decisions you make based on information from our Service.
  • These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise).
  • If any jurisdiction does not allow full liability exclusion, our liability is limited to the minimum amount permitted by law.

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded by applicable law.

11. Indemnification

YOU AGREE TO FULLY INDEMNIFY, DEFEND, AND HOLD HARMLESS:

SARIH, its owner, operators, employees, and affiliates from any and all claims, demands, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Any business decisions you make based on our analysis
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Any dispute between you and any third party related to your use of information from our Service

12. Termination

We may suspend or terminate your access to SARIH at any time, for any reason. You may delete your account at any time from your account settings.

13. Modifications

We may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance.

14. Governing Law and Disputes

These Terms are governed by the laws applicable in your jurisdiction. For dispute resolution:

  • We encourage resolving disputes by contacting us first at sarihlegal@gmail.com.
  • Where permitted by your local law, disputes may be resolved through binding arbitration rather than court.
  • To the extent permitted by applicable law, you waive participation in class action lawsuits.
  • EU/EEA Users: Nothing in these Terms affects your statutory consumer rights under EU law. You may bring claims in your local courts.

15. EU Digital Content Rights

For users in the EU/EEA/UK: Digital content (validation credits) is available for immediate use upon purchase. By completing your purchase, you acknowledge that you are purchasing digital content for immediate delivery. Refunds are handled according to our Refund Policy and applicable consumer protection laws.

16. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to: natural disasters, internet outages, third-party service failures (including Polar or Stripe), cyberattacks, government actions, or other force majeure events.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and SARIH regarding the Service. Your purchase is also subject to Polar's Terms of Service.

19. Assignment

We may assign or transfer these Terms and our rights hereunder without restriction. You may not assign your rights under these Terms without our written consent.

20. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
